Terms of Service for OverWulf Technologies

Welcome to OverWulf Technologies (“we,” “us,” “our”). These Terms of Service (“Terms”) govern your access to and use of our services, including Smart Home & Commercial Security Solutions, Low Voltage Services, and associated products and offerings. The following Terms and Conditions and outlined below will be accepted and legally binding upon any clients of OverWulf Technologies. Please read these Terms and Conditions and the Privacy Policy carefully as they contain important information in regards to your legal rights, remedies and obligations. The Terms and Conditions will be deemed accepted by engaging our services.
Services Provided
We provide a comprehensive range of services, including but not limited to:
Installation and maintenance of Smart Home Security Systems
Installation and maintenance of Commercial Security Systems
CCTV camera installation, configuration, and monitoring
Network setup and management for residential and commercial properties
Access control system installation and management
Low voltage wiring and cabling services
Remote monitoring and support for installed systems
Troubleshooting and technical support for security and network systems
These services are primarily conducted at customer locations, with some aspects handled remotely.
We reserve the right to discontinue or amend the scope of any service at any time.
User Responsibilities
You agree to:
Provide accurate and complete information when requested.
Refrain from using our services for illegal or unauthorized purposes.
Keep any passwords or access credentials confidential if shared during installation.
Payment Terms
We accept payment through credit card, bank transfer, e-transfer, and cash. Payments are due as per the terms specified in your invoice.
You agree to accept and be bound by the terms, conditions, and privacy policy of our chosen payment processing company.
You agree to provide current, complete and accurate purchase and account information for all purchases made through the website. You agree to update your account and other information such as email address and credit card numbers, including expiration dates, so that transactions can be made successfully.
If your credit card is declined, the transaction will be cancelled.
In addition to the billing information provided above, we may collect and provide information in order to manage payments, provide promotional information, meet regulatory requirements, provide other services and improve our administrative programs.
Refund Policy:
Services: No refunds are provided for services rendered.
Parts: Refunds are valid for returned parts in their original condition, subject to approval and proof of payment.
Content Usage
Reviews: Users may upload reviews, which the Parties agree may be used in our advertising materials. By submitting a review, you grant OverWulf Technologies a non-exclusive, royalty-free, worldwide license to use, reproduce, and publish your content for promotional purposes.
Photos: We reserve the right to take and use photos of completed jobs for the purposes of marketing and advertising, including on social media platforms like Facebook. If you object to specific photos being used, please notify us in writing. We agree to adhere to any applicable privacy legislation.
Data Collection and Privacy
In order to effectively provide the services, we collect and store system passwords to facilitate remote network and CCTV management. Customers have the option to and reserve the right to change their passwords after installation. By using our services, you consent to the collection and use of this data as described in this section.
We are committed to protecting your privacy whether through accessing the website, opening an account, and/or making a purchase, provision of services, and uses reasonable efforts to protect same. We may only collect personal information that is specifically authorized at law, or where the collection is necessary to provide the Service.
By providing personal or billing information you consent to collection of same and storage, as applicable, by OverWulf Technologies. Order Information includes the name, billing address, shipping address, payment information, email address and phone number.
Order Information is collected to fulfill purchase orders, if applicable, including processing payment information and providing invoices and/or order confirmations.
Order Information will additionally be used to communicate with the client, screen orders for potential risk and fraud and if applicable, provide the client with information relating to products and services.
Unless otherwise requested to delete, we will maintain the Order Information for record keeping purposes.
By agreeing to these Terms and Conditions, you acknowledge that you are the age of majority in your state or province.
This Privacy Policy will govern any and all transfers of data, sharing and collection of information, and use of same.
At all times, OverWulf Technologies follows the Freedom of Information and Protection of Privacy Act, Ontario, and the Privacy Act, Canada.
We will use every effort to maintain confidentiality and respect for all clients.
Warranties
Warranties for products vary by product line. The warranty terms will be provided at the time of installation or purchase. For additional details, please refer to your invoice or contact us directly.
Disclaimers and Limitations of Liability
Our services and products are provided “as is” and without warranties of any kind, except as expressly stated in the warranty documentation provided at the time of purchase.
We do not warrant or guarantee that the Service will be uninterrupted, timely, secure, error-free or have accurate or reliable results.
You agree that from time to time, without any explanation, the services may be unavailable for indefinite periods of time, without notice to you.
Under no circumstances shall OverWulf Technologies be liable for any injury, loss, claim, or any direct, indirect, incidental or consequential damages of any kind, including, without limitation, lost profits, lost revenue, replacement costs, or any similar damages, arising from your use of any of the Service or products received from using the Service, or for any claim related in any way to your use of the Service or product.
You agree to indemnify, defend, and hold harmless OverWulf Technologies and our parent, subsidiaries, affiliates, partners, agents, licensors, service providers, subcontractors, suppliers, employees, harmless from any claim or demand, including reasonable attorneys’ fees, made by any third-party due to or arising out of your breach of these Terms and Conditions.
Specific Limitation: We are not liable for damages, including theft or property damage, arising from the use or failure of installed CCTV or other systems. It is the customer’s responsibility to ensure that the system is operational on a day-to-day basis and report all shortcomings to OverWulf Technologies for correction within the noted warranty period.
Intellectual Property
The logos, designs, trademarks, service marks, business names, and products photos on the website are considered Intellectual Property under these Terms and Conditions.
The Intellectual Property is owned and legally protected by OverWulf Technologies and cannot be used or implemented by an outside person or company without consent.
You are prohibited from using the website and its content for any unlawful purpose.
Changes to Terms
We reserve the right, at our discretion to change, modify, add or delete portions of these Terms and Conditions at any time; by accessing or using our website you acknowledge and agree to any changed or modified terms moving forward
Updates will be posted on our website, and continued use of our services constitutes acceptance of the updated Terms.
Governing Law
These Terms are governed by and construed in accordance with the laws of Ontario.
DISPUTE RESOLUTION
As OverWulf Technologies is a business operating under the Laws of the Province of Ontario, the relationship between the client and OverWulf Technologies shall be governed by the laws of Ontario at all times.
Should be there any dispute arising out of the Service provided by OverWulf Technologies, or any ancillary concern, you explicitly agree that dispute resolution will be handed by arbitration.
SEVERABILITY
If a provision of these Terms and Conditions is determined to be unlawful, void, or unenforceable, such provision shall be enforceable to the fullest possible extent permitted by applicable law. The unenforceable portion of such provision shall be deemed to be severed from these Terms and Conditions.
The validity and enforceability of the remaining provisions will not be affected.
TERMINATION OF TERMS AND CONDITIONS
These Terms and Conditions are effective unless and until terminated by either OverWulf Technologies or the client. The client may terminate these Terms and Conditions at any time by notifying OverWulf Technologies that use of the Service is no longer desired.
If determined through the sole judgement of OverWulf Technologies, failure to comply by the client with any of these Terms and Conditions, OverWulf Technologies may terminate this agreement at anytime without any notice and the client will be liable for all amounts due up to and including the date of termination and/or access to the Service may be denied.
